These Terms and Conditions (hereinafter referred to as “Terms”) constitute a legally binding agreement between you (either an individual or an entity, hereinafter referred to as “Client,” “User,” or “You”) and Heil Solutions LLC (hereinafter referred to as “Company,” “We,” “Us,” or “Our”), a limited liability company organized and existing under the laws of the State of Wyoming.
By accessing the website located at www.heilsolutions.com (the “Site”) or by contracting for our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must strictly cease use of the Site and our services immediately.
1. Definitions and Interpretation
For the purposes of these Terms:
- “Service Agreement” refers to any separate proposal, statement of work (SOW), or engagement letter signed by the Client and the Company detailing specific consulting services.
- “Deliverables” refers to all reports, documents, strategies, presentations, and other materials created by the Company for the Client as part of the Services.
- “Intellectual Property” means all patents, copyrights, trademarks, trade secrets, and other proprietary rights recognized in any jurisdiction.
2. Scope of Consulting Services
2.1. Engagement
Heil Solutions LLC provides strategic business consulting, risk management, and individual advisory services. The specific nature, scope, and timeline of the services will be defined in a separate Service Agreement. In the event of a direct conflict between these Terms and a Service Agreement, the provisions of the Service Agreement shall control.
2.2. Standard of Performance
We agree to perform the services with that standard of care, skill, and diligence normally provided by a professional consulting firm in the performance of similar services. However, you acknowledge that the nature of business consulting is advisory. We do not guarantee specific quantitative results, such as a specific percentage increase in profits or market share, as these outcomes are subject to market variables beyond our control.
3. Client Responsibilities
To ensure the success of the engagement, the Client agrees to:
- Provide the Company with access to relevant personnel, data, and information as reasonably required.
- Ensure that all information provided to the Company is accurate, complete, and not misleading. Heil Solutions LLC shall not be liable for any errors in Deliverables that result from inaccurate data provided by the Client.
- Make timely decisions and approvals to avoid delaying the project timeline.
4. Fees, Invoicing, and Payment
4.1. Payment Terms
Fees for services will be set forth in the applicable Service Agreement. Unless otherwise stated, invoices are due and payable within thirty (30) days of the invoice date. All payments shall be made in US Dollars.
4.2. Late Payments
Any amount not paid when due shall bear interest from the due date until paid at a rate of 1.5% per month or the maximum rate permitted by Wyoming law, whichever is less. The Client shall be responsible for all costs of collection, including reasonable legal fees, incurred by the Company in collecting delinquent amounts.
4.3. Taxes
Fees quoted do not include taxes. The Client is responsible for paying all applicable sales, use, excise, or value-added taxes associated with the services, excluding taxes based on the Company’s net income.
5. Intellectual Property Rights
5.1. Company Background IP
Heil Solutions LLC retains all rights, title, and interest in and to its pre-existing proprietary methodologies, frameworks, software, templates, and know-how (“Background IP”). The Client receives a non-exclusive, non-transferable license to use such Background IP solely as embedded in the Deliverables for their internal business purposes.
5.2. Client Ownership
Upon full payment of all fees, the Client shall own the copyright in the final written Deliverables created specifically for the Client. This ownership does not extend to the underlying methods or generic business strategies used by the Company.
6. Confidentiality
Each party agrees to hold the other party’s “Confidential Information” in strict confidence. Confidential Information includes, but is not limited to, financial data, business strategies, customer lists, and proprietary technology. This obligation does not apply to information that:
- Is or becomes publicly known through no breach of this Agreement;
- Is already known to the recipient at the time of disclosure;
- Is rightfully received from a third party without a duty of confidentiality; or
- Is independently developed by the recipient without use of the Confidential Information.
7. Disclaimer of Warranties
THE SITE AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. HEIL SOLUTIONS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEIL SOLUTIONS LLC BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total cumulative liability to you for any and all claims arising out of or in connection with these Terms shall not exceed the total amount of fees actually paid by you to Heil Solutions LLC in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Heil Solutions LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your (or anyone using your account’s) violation of these Terms or your violation of any rights of another.
10. Termination
We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the services will immediately cease. Provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Force Majeure
Heil Solutions LLC shall not be liable for any failure to perform its obligations where such failure is a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power, or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout, or interruption or failure of electricity or telephone service.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the internal laws of the State of Wyoming without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wyoming. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
13. Entire Agreement
These Terms, together with our Privacy Policy and any specific Service Agreement signed by you, constitute the entire agreement between you and Heil Solutions LLC regarding the use of the Site and Services and supersede all prior and contemporaneous written or oral agreements between you and Heil Solutions LLC.
